2nd Draft of PENSA Constitution

PENSA CONSTITUTION

Article 1 Name

The organization was founded in 1995 in Chiang Rai, Thailand, shall be named Parenteral and Enteral Nutrition Society of Asia. The initials PENSA may also refer it to.

Article 2 Goals

The goals of the Society are:

    1. To educate and share information, thereby raising the awareness of physicians, nurses, dietitians and pharmacists and others, about the importance of parenteral and enteral nutrition support and the role of interdisciplinary nutrition support teams.

    2. To promote research and the transfer of information from research to the practicing clinician, in the field of parenteral and enteral nutrition.

    3. To increase public awareness of the need for nutrition from support in Asia.

    4. To promote contact with national regional organizations with similar objectives and provide an international forum to exchange clinical nutrition experiences and scientific data.

Article 3 Structure

3.1 The Society Center (PENSA Center) shall be in Thailand at the Research Center for Nutritional Support:

    1. The permanent PENSA Center will be the center for communication between council and will operate the web site for communication with members and other organizations.

    2. The permanent PENSA Center will be where all material matter is displayed or stored.

3.2 The Society comprises;

    1. Membership (See Article 4 Membership)

    2. The Council (See section 3.3)

    3. The Executive Committee (See section 3.4)

3.3 The Council

The Council consists of members of the Executive Committee (See Section 3.4)

3.3.1 one representative of each member National/Regional Society.

3.3.2 one councilor representing each of the fields of medicine, nursing, pharmacy and dietetics. Each national / regional member will nominate the name with his or her CV. of the candidate of each field to the Executive Committee for selection and appointment.

The Council shall be appointed by the Executive Committee from the nominations received from the National / Regional Societies. The Council shall be appointed at the General Meeting of the Society during the Congress.

3.4 The Executive Committee

The Executive Committee consists of the President, Immediate Past President-elect, Treasurer, ex-officio Secretary and Executive Director.

Under normal circumstances, the President should be elected from members of the National / Regional proposed for the next Congress.

The President and President-elect shall serve for one year only and shall be ineligible for re-election to the same office until one further term has elapsed.

The President-elect automatically becomes the next President.

The President automatically becomes Immediate Past President.

The Executive Director of PENSA Center shall automatically become Executive Committee member of PENSA.

The office of Treasurer and ex-officio Secretary may be held for any number of one-year terms.

The Executive Committee shall be elected annually at the General Meeting of the Society during the Congress.

Article 4 Membership

Membership is open to all people wishing to support the objectives of the Society and agreeing to abide by its Constitution. Members of societies of parenteral and enteral nutrition support in any countries in Asia shall automatically be members of the Society (see Section 4.3 on block membership) upon payment of membership fee.

4.1 Membership Categories

Society membership shall be divided into four categories:

      1. Active Member, Active membership is open to all professionals, including physicians, nurses, pharmacists, dietitians, and others such as scientists and technologists, who have paid an annual membership fee. Active members are eligible for election to office and entitled to vote at membership meetings.

      2. Honorary Member, Honorary membership is open to members of the Society who have distinguished themselves in service to the Society or to persons who have been invited to participate in the activities of the Society by its Council in recognition of special contributions in the field of nutrition. Honorary membership is conferred upon any person proposed by the Council and voted favorably upon by more than two thirds of the members present. Honorary members pay no membership fee, are not eligible for election to office, but are entitled to vote at membership meetings.

      3. Supporting Member. Supporting membership is open to companies, Trusts or Foundations giving substantial material aid to reach the objectives of the Society. Supporting members pay an annual membership fee, are not eligible for election to office, and are not entitled to vote at membership meetings. Supporting membership provides affiliate membership for two individuals

      4. Affiliate Member. Affiliate membership is open to students of disciplines qualifying for active membership or an industry sales/marketing representative or others who are not eligible for active membership. Affiliate members pay an annual membership fee, are not eligible for election to office, but are entitled to vote at membership meetings.

4.2 Membership Fees

Fees for the membership categories and block membership (see Section 4.3) are determined by a majority vote of the Council of the Society.

4.3 Block Membership

Block membership allows for reduced Society membership fees when an Asian national / regional society of parenteral and enteral nutrition support collects fees from National / regional society members and pays the Society in lump sum.

4.4 Termination of Membership

Membership may be terminated by resignation, which must be made in writing to the Society Treasurer six months before the end of the financial year.

Members who have not paid their membership fee are given 60 days once notification is sent, will be consider terminated by resignation.

Article 5 Language

The official language of the Society is English

Article 6 Membership Meeting

6.1 Types of membership meetings

    1. Congress The scientific meeting of the Society shall be called the PENSA Congress and will be held on a yearly basis unless decided differently by the Council.

    2. The General Meeting of the members shall be held during the Congress for the announcement of the results of the election for officers and for the transaction of such other business as may come before it.

    3. Special; Special meetings of the members may be called by the President upon written request of ten percent of the members.

    4. Council; Meetings of the Council shall be held at least annually during the Congress. The incoming Council shall meet for the first time at the Congress following elections at the General Meeting. The Council decides on all aspects of policy and management of the Society. The Executive Committee shall be empowered to make decisions in the interim between full Council meetings

Ten percent or more of the voting members in good standing present in person or by proxy shall constitute a quorum for the transaction of business and, unless otherwise required bylaws, may act by a majority of those so present.

ii Proxy Voting: Mail Ballot

Members may vote by proxy at membership meeting only in accordance with procedures adopted by Council. (To be done at a later date and included in Constitution)

6.2 Notice and Minutes.

    1. Notice. Written notice of the date, time, and place of the General Meeting of the members and any special meetings of the members, along with an agenda, shall be signed by the President and shall be distributed by ex-officio Secretary to each National / Regional member of the Society at least ten days and not more than sixty days before the time appointed for the meeting.

    2. Minutes. The decisions of the membership meetings are communicated to all members through the minutes. After approval by the officers concerned, the minutes are circulated to all members by the ex-officio Secretary and adopted at the following PENSA Congress.

Article 7 Financial

7.1 Income

Income of PENSA should be from membership fee, any special activity to raise the fund, donation from supporting member and 10% of registration fee of each Scientific Congress, etc. The Financial account should be in Thailand.

The PENSA Council has to manage PENSA budget for supporting goals of society (Article 2)

The President and Treasurer have a right to spend PENSA budget for goals of society and will report the balance to Council Meeting in each year.

7.2 Expense

The expense of PENSA budget should be for newsletter and / or Journal, web site maintenance, communication, transportation and meeting of committee, expense of PENSA Center.

Following the Congress, 10% of the registration fees collected will be returned to the PENSA budget, to be paid 60 days after the close of the Congress.

The President should manage the budget for PENSA activities and sent the balance report to PENSA Center after the work was done.

Article 8 Modification of the Constitution

The constitution may be modified by an affirmative vote of a majority of the PENSA Council Committee.

3. Executive Committee, characteristic and job assign.

3.1 The President, Immediate Past President, President-elect, Treasurer and ex-officio Secretary shall reside in different countries.

3.2 The present Executive Director should be Professor Chomchark Chuntrasakul, who found PENSA in 1995.

3.2.1 The expense of PENSA should be approved (signed) by at least 2 of 3 persons on the name of Executive Director, Secretary and Treasurer at The PENSA Center.

3.2.2 Financial reports, report of all activities of PENSA to the PENSA council at the Committee meeting.

3.3 President

  • Lead the organization.

  • Organize the Scientific Congress.

  • Assign jobs of organization to any country, newsletter, journal, web site and others.

  • Call for PENSA council meeting.

3.4 President-elect

  • Prepare to become the next president.

3.5 Immediate Past President

  • Work as advisor for PENSA council

3.6 Executive Director

  • Work as advisor of PENSA Council.

  • Manage PENSA activities at the Center and as a member of Executive Committee of PENSA Council.

3.7 Treasurer

  • Control PENSA budget and arrange budget for PENSA jobs.

  • Report balance of all jobs to PENSA council.

  • Will cooperate with PENSA Center.

3.8 Ex-officio Secretary

  • Work as Presidents assignment.

  • Will cooperate with PENSA Center activities.

4. Characteristic and Jobs description of PENSA Center.

PENSA Center committee consists of

Executive Director automatically becomes an Executive committee member of PENSA

Council and will manage PENSA Center activities.

· Executive Director will appoint appropriate personnel to assist PENSA activities to achieve the goal, such as, in the academic field, data and report, communication and relationship among organizations, etc., also will appoint the industrial representatives to join the committee at the center.

5. The activity of PENSA

    5.1 Scientific Congress will be held in any country.

    5.2 Newsletter and / or Journal.

    5.3 Web site.

    5.4 Council meeting; will be held during the scientific meeting.

    5.5 Other activities, as President of PENSA and Council will create idea.
